Universal Audio Auto-Renewal and Cancellation Policy
You, or your Designated Entity (together, “Customer”) are considering acquiring (or a have
acquired) a license (the “License”) to certain UA Software Products from Universal Audio,
Inc., a California corporation (“UA”) under an End User License Agreement with UA (the
“EULA”). Capitalized terms that are not defined in this Auto-Renewal and Cancellation Policy
(the “Policy”) shall have the meanings given in the EULA.
1. No Refunds
If the terms of the License require Customer to pay UA a fee in exchange for the
License, as is the case with both Perpetual Licenses and Subscription Licenses, Customer will be required to pay
such fee (the “Fee”), as well as any taxes or transaction costs that may apply (the
“Transaction Costs” and together with the Fee, the “Required Payment”). All
Required Payments shall be made using a payment method that is acceptable to UA, in its sole discretion.
(“Acceptable Payment Method”). Payments are non-refundable, except as expressly required by
applicable law.
2. Auto-Renewal For Subscription Licenses.
- (a) Auto-Renewal. If the License is a Subscription License, the License will automatically renew in accordance with the terms of the EULA, unless either party opts out in accordance with such terms.

(b) Subscription Fees for Renewal Terms. UA reserves the right to change the Fees for each
renewal term by notifying Customer thereof in accordance with the terms of the EULA. Customer authorizes UA
to
charge Customer for the Required Payment for each renewal term using the any Acceptable Payment Method
associated with Customer’s account. If Required Payment is not successfully settled, due to expiration,
insufficient funds or otherwise, UA may suspend Customer’s License unless and until payment becomes
successfully
settled. Whether the License is suspended, or not, Customer remains liable for the full amount of the
Required
Payment plus interest of one and one-half percent (1.5%) per month, except as expressly required by
applicable law.
3. Changes to Terms of the Policy.
UA may, from time to time, change the terms of this Policy, in its sole discretion. In such event, UA shall post
the new Policy on uaudio.com and the new Policy shall be effective immediately upon such posting.
